The rules behind merchant referral eligibility, reward qualification, anti-abuse holds, reversals, staff-governed programme settings and review rights.
The KOMERRA Merchant Referral Programme allows an eligible KOMERRA business to invite another genuine business to KOMERRA and receive a promotional service-Credit benefit when the applicable qualifying conditions are completed.
The programme is operated by KOMERRA Technologies Limited and forms part of the KOMERRA Terms of Service and Acceptable Use Policy.
Programme percentages, thresholds, hold periods, availability and other commercial settings may change prospectively. KOMERRA records a programme-policy version so a later configuration change does not silently rewrite a referral that already captured an earlier applicable version.
A referrer must have an eligible, active KOMERRA business and an active referral code. KOMERRA may restrict or remove referral eligibility where an Account or Workspace is subject to an applicable enforcement action or unresolved referral clawback.
The referred party must be a separate genuine business. A business may be attributed to at most one merchant referral for this programme.
The professional Partner or affiliate programme for accountants, agencies, advisers, consultants or other professional distributors is separate unless KOMERRA expressly states otherwise.
A click, a shared link, a registration or completed onboarding is not a successful referral. A referral becomes successful only when the referred business completes its first provider-verified paid Mini Store subscription, the payment clears risk screening and any configured hold or review, and the referral satisfies the applicable programme rules. A refundable card-verification charge taken before a trial is never a qualifying payment.
Only qualifying Mini Store plan spend is used for the merchant-referral calculation. Add-ons, proration amounts, promotional or Ambassador reductions, unrelated payments, top-ups, gifted Credits and other excluded value do not increase the qualifying referral basis unless the applicable programme version expressly states otherwise.
A payment that is pending, unverified, reversed, refunded, fraudulent, disputed, or otherwise ineligible does not create a successful referral or an unconditional reward.
KOMERRA acts only on refund, chargeback and reversal evidence reported by the payment provider through its verified channel. Under the current programme version, if the qualifying payment is refunded before the referral succeeds, the referral does not qualify; this is not a finding of fraud. A chargeback or dispute before the referral succeeds places it on hold for human review.
Whether a referral is successful and whether it earns a Credit reward are separate questions. Every successful referral counts toward your lifetime total, including referrals that earn no percentage Credit reward because you are already a KOMERRA Ambassador.
Until you become a KOMERRA Ambassador, each successful referral earns a percentage of the referred business’s qualifying first Mini Store plan spend as promotional KOMERRA service Credits. The percentage increases with your number of successful referrals. Under the launch programme version it is 25% for your 1st and 2nd successful referrals, 30% for your 3rd to 5th and 35% for your 6th to 9th. The current values are always shown in your referral dashboard.
The referred business receives its own onboarding bonus in Credits, separate from your reward. Under the launch programme version this is equivalent to 15% of its qualifying first plan spend.
Referral Credits are not cash, deposits, stored value, investment value, remittance value, income owed or a bank balance. They are non-withdrawable and non-transferable unless an expressly published programme term says otherwise.
KOMERRA converts the percentage value into service Credits using the applicable localized Metered Credit pricing authority at the time of settlement. One KOMERRA Credit must never be assumed to equal one naira or one unit of another currency.
When your lifetime successful referrals reach the graduation threshold (10 under the launch programme version), you become a KOMERRA Ambassador at the first rank, Catalyst. From that referral onward, percentage referral Credits end and Ambassador benefits apply instead. You do not receive both.
Ambassador ranks are earned by lifetime successful referrals: Catalyst (10), Builder (20), Vanguard (30), Luminary (40), Apex (50), Legacy (75) and Pinnacle (100) under the launch programme version. Rank names, thresholds and benefits are set by the published programme version and may be renamed or adjusted prospectively.
Your earned rank reflects lifetime contribution. It is not reduced because a referred business later cancels, changes plan or becomes inactive, and it is never reduced for Ambassador inactivity. A referral that KOMERRA determines never should have qualified — for example because of fraud, a reversed or refunded qualifying payment within the review period, or duplicate settlement — may be removed from your total after review, and your rank may be adjusted accordingly.
A refund, chargeback or reversal of the qualifying payment reported after a referral has already succeeded is reviewed by KOMERRA staff before anything changes. Ordinary churn, or a refund that does not show the referral was ineligible, does not by itself remove a successful referral. If the review finds the referral never should have qualified, it is removed from your total, your rank is recalculated from the corrected total, and the decision is recorded. Later successful referrals continue to count from that corrected total.
An Ambassador’s principal benefit is a reduction on the price of their own Mini Store plan subscription. Under the launch programme version the standard reduction is 5% at Catalyst, 10% at Builder, 15% at Vanguard, 20% at Luminary, 30% at Apex, 40% at Legacy and 50% at Pinnacle.
Ambassadors on the Business Mini Store plan or any higher plan (such as Scale) receive the Business MiniStore Boost: an additional 5 percentage points on top of their rank reduction (for example, 15% becomes 20%). The Boost changes the reduction only; it never changes your rank. Moving below the Business plan removes the Boost from the next renewal charge and leaves your rank unchanged. The maximum reduction under the current programme version is 55%.
The reduction applies only to the Mini Store plan subscription amount calculated by KOMERRA’s billing system. It does not apply to Metered Credit purchases, add-ons, payment-provider or delivery charges, taxes, or other KOMERRA products, and it does not change your plan’s features. Recurring add-ons renew with your plan at their recorded price and are not reduced. KOMERRA calculates the reduced amount before payment; your invoice and receipt show the plan, any add-ons and the Ambassador reduction applied.
A rank reached during a paid period applies from your next eligible subscription charge. KOMERRA does not issue refunds or rewrite past invoices for a period already paid. Every renewal is priced by KOMERRA’s billing system before it is charged, whichever payment provider you use. Where a provider holds a fixed recurring price, KOMERRA updates the price of that same subscription before the next renewal so it reflects your current benefit. That update never raises the price above the undiscounted plan and recurring add-on price you accepted, never creates a second subscription and never uses a new payment method without your consent. If a provider charge does not match KOMERRA’s renewal price, KOMERRA records the discrepancy for staff review rather than treating it as correct.
The programme version defines how the reduction interacts with promotion codes. Under the launch version KOMERRA applies whichever is greater, the Ambassador reduction or the promotion, and never both unless a published version expressly allows stacking.
A programme version may make ongoing Ambassador benefits depend on recent referral activity. Under the current programme version the MiniStore reduction stays active while you record at least one successful referral, or one qualified referral still in verification, in the last 365 days. New Ambassadors have 180 days after graduation before this applies, and after a quiet period the reduction continues for a further 90-day grace period.
Inactivity pauses the reduction only. It never removes or lowers your earned rank, and the reduction resumes from your next eligible charge once the activity requirement is met again. Your referral dashboard shows your lifetime rank, activity status, base rank benefit, Business MiniStore Boost and effective current benefit separately.
KOMERRA may pause Ambassador benefits while an account is under review or subject to enforcement. A pause does not by itself remove your earned rank.
A programme version may award a one-time milestone bonus in Credits the first time you reach a rank. A milestone bonus is not a referral commission and is not repeated if a rank is reached again.
Referral Credits and Ambassador reductions have no cash value. You are responsible for any tax or reporting obligations that applicable law may attach to promotional benefits you receive.
You must not refer yourself or a business you own or control, create duplicate, synthetic, dormant or sham businesses, conceal common ownership or control, fabricate verification information, or use nominees merely to trigger a referral benefit.
You must not coordinate referral rings, reciprocal schemes, account farms, bots, scripts, manipulated devices or identities, false subscriptions, artificial payments, intentional payment-and-refund cycles, or other arrangements intended primarily to manufacture referral eligibility.
You must not buy, sell, rent or exchange referral identities, provide false referral evidence, reuse another business’s identity or settlement information deceptively, or help another person circumvent programme limits, holds, sanctions or verification controls.
An attempt to game the programme may violate these terms even if KOMERRA detects it before a reward is issued or the attempt is unsuccessful.
KOMERRA may use account, business, ownership, verification, payment, referral-network, usage, security and other relevant platform records to identify possible duplicate ownership, self-referral, coordinated conduct or other programme abuse, subject to applicable privacy requirements.
Risk indicators may place a reward on hold or send it to a human review queue. A risk signal is not necessarily a final finding of fraud, and coincidental or legitimate shared characteristics may be considered during review.
KOMERRA may withhold exact detection thresholds, scoring rules, internal indicators, security controls or provider details where disclosure could enable circumvention.
Where KOMERRA reasonably determines that a referral is ineligible or was deliberately manipulated, KOMERRA may invalidate the referral before release, reverse or claw back Referral Credits already issued, or offset an outstanding referral clawback against future referral or promotional benefits.
KOMERRA may also suspend or remove referral eligibility, apply a temporary restriction, restrict affected features, or suspend or terminate an Account or Workspace for serious or repeated deliberate abuse, subject to applicable law and the Terms of Service.
Where Credits have already been consumed, KOMERRA may record the unrecovered referral amount as an outstanding promotional clawback for future offset. KOMERRA will not represent that promotional clawback as a cash debt unless a separate lawful agreement expressly creates one.
Genuine mistakes, duplicate events caused by system error, or unsupported automated signals should be corrected without being treated as deliberate fraud where the available evidence supports that conclusion.
Authorized KOMERRA personnel may change future referral percentages, tier thresholds, referred-business bonuses, Ambassador ranks, thresholds and reductions, the Business MiniStore Boost, discount-stacking and activity rules, programme availability and reward-hold periods through governed platform administration controls. KOMERRA may also suspend, modify or end the programme prospectively.
Commercial changes are versioned and audited. The operator, previous values, new values, effective time and reason are recorded. A new programme version applies prospectively from its effective time and does not rewrite a referral already settled, a rank already earned or an invoice already issued under an earlier version.
If you believe a referral was held, invalidated, reversed or restricted because of mistaken identity, incorrect information, unauthorized activity or a misunderstanding of legitimate conduct, you may request review through support@komerra.app with “Referral Programme Review” in the subject.
Include the affected business, referral or notice reference, approximate date, explanation and relevant supporting evidence. Do not create replacement Accounts or attempt to bypass the restriction while review is pending.
A review may uphold, narrow, modify or reverse the original action. Protective restrictions may remain in place while a review is pending where immediate restoration would create material abuse or security risk.
